1. Plans, Quotas, and Pricing

ReguSift offers three primary plans. The Free plan is provided at no charge and includes up to three (3) active product records, watermark-on-export PDF output, and limited AI rewriter and AI scanner usage within the free monthly quota. The Single Label plan is a one-time purchase that unlocks a single product record, removes the watermark on the export of that record, and includes a defined AI rewrite credit allocation for that record; Single Label purchases do not include subscription benefits and are not automatically renewed. The Pro plan is a monthly or annual recurring subscription that includes unlimited product records, full AI rewriter and AI scanner usage, unbranded SVG and PDF exports, and email support. The current prices for Single Label and Pro are published on the Pricing page and may be changed upon at least thirty (30) days' prior notice to existing Pro subscribers. Plan features, quotas, watermark rules, AI credit allocations, and rewriter capabilities are described in your account dashboard. The "active product record" count is calculated as the number of product records that have not been archived or deleted in the past thirty (30) days.

2. Free Trial and Auto-Renewal

New users may start a seven (7) calendar day free trial of the Pro plan, which begins on the day the Account is created. We will send you a renewal reminder email at least three (3) days before the end of the trial, in compliance with the California Automatic Renewal Law. If you do not cancel before the trial ends, your selected paid plan will begin at the published monthly or annual rate, billed in advance through PayPal, and will automatically renew at the then-current rate for successive subscription terms of the same length unless and until you cancel. Renewal reminders will be sent for each subsequent renewal at least three (3) days before the renewal date, except where a shorter notice period is permitted by law. You may cancel at any time through your account dashboard or by emailing support@regusift.com. Cancellation stops the next renewal charge but does not refund the current billing period except as described in Sections 5 and 6 below.

3. Payment Method, Charging, and Failed Payments

You authorize us, through PayPal, to charge your selected payment instrument for all fees, taxes (where PayPal collects such taxes at checkout), and any other amounts due under this Agreement. Payment is due at the beginning of each subscription term. If a charge fails, we may suspend or terminate your access to paid features until payment is received. Delinquent amounts may accrue interest at the lower of one and one-half percent (1.5%) per month or the maximum rate permitted by applicable law, and we may refer your Account to a collections agency, in which case you agree to reimburse us for reasonable collection costs, including reasonable attorneys' fees. You must promptly update your PayPal account or payment method information when it changes. We do not store full card numbers, CVVs, or bank account numbers; please review PayPal's User Agreement for the terms applicable to your payment relationship.

Payment Processing and Seller of Record

All payment processing for the Service is performed by PayPal Holdings, Inc. and its affiliates ("PayPal") under a direct merchant agreement between YQGate Inc. and PayPal. YQGate Inc. is the seller of record for all subscriptions and one-time purchases. PayPal is a payment processor only and is not the seller of record, distributor, or co-vendor of the Service. Your payment card or PayPal account credentials are submitted directly to PayPal and are never received, stored, transmitted, or processed by YQGate Inc. You should review PayPal's User Agreement and Privacy Statement for the terms and privacy practices applicable to your payment relationship with PayPal. Because we do not currently use automated sales tax, GST, or VAT calculation tools, you may be charged a base subscription price that excludes transaction taxes; you are responsible for self-assessing and remitting any applicable use tax, value-added tax, goods and services tax, consumption tax, or similar transaction tax to your local tax authority unless PayPal collects such tax at checkout in your jurisdiction.

4. Sales Tax, VAT, GST, and Self-Assessment

ReguSift does not currently use automated sales tax, value-added tax, goods and services tax, or consumption tax calculation tools. The price displayed at checkout is the base price and may be exclusive of applicable transaction taxes in your jurisdiction. Where PayPal collects such tax at checkout, you will see the tax amount itemized before you confirm the order. Where PayPal does not collect such tax (including, for example, certain U.S. states, certain EU jurisdictions where the Marketplace Facilitator regime does not apply, and most non-U.S. jurisdictions), the displayed price is the net amount and you are solely responsible for self-assessing, reporting, and remitting any applicable use tax, value-added tax, goods and services tax, consumption tax, or similar transaction tax to your local tax authority. We are not responsible for any sales tax, VAT, GST, customs duty, import tariff, or similar tax that you owe in connection with your purchase or with the products you sell using the Service. If you are tax-exempt, you must provide a valid exemption certificate to legal@regusift.com before your purchase.

5. No-Refund Policy (All Sales Final)

Because ReguSift is an immediate-consumption and immediate-delivery software service — once you click Confirm and download a watermark-free PDF, PNG, SVG, or other export, the core commercial value has been fully consumed — all sales of ReguSift premium subscriptions, Single Label purchases, label credits, AI credit top-ups, and any other paid features are strictly final and non-refundable. By checking the consent box at checkout and completing your payment, you explicitly acknowledge and agree that: (a) you have been offered a free watermark-on-export preview and a free tier as a no-cost alternative to paid plans; (b) because the Service is consumed immediately upon unlock or export, you waive any right of withdrawal, cooling-off period, or refund, to the maximum extent permitted by applicable law; (c) this No-Refund Policy complies with the EU Consumer Rights Directive exception for digital content that has been downloaded or consumed with the consumer's prior consent (Article 16(m)), and with California Civil Code Section 1723 which permits "All Sales Are Final" policies when clearly disclosed at the point of purchase; and (d) this No-Refund Policy applies to all payment methods including PayPal, credit card, and any other payment instrument. If you believe you have been charged in error (e.g., duplicate charge, system error), you must notify us at support@regusift.com within thirty (30) days of the charge; we will investigate and, if a genuine billing error is confirmed, issue a correction. This Section 5 does not create any general refund right and does not override the forfeiture provisions of Section 6.

6. Evidence of Consumption and Audit Trail

To prevent abuse of the Service and to establish compelling evidence in the event of a PayPal dispute or credit card chargeback, ReguSift maintains an immutable audit trail of your usage. Each time you unlock a label, export a watermark-free file, or consume AI credits, the system records: (a) your user ID and account email; (b) your IP address and device user-agent, extracted from standard HTTP headers; (c) the PayPal transaction ID or subscription ID associated with your account; (d) the exact timestamp of the unlock or export action; (e) the label project ID and product ID involved; and (f) the export format (PDF, PNG, SVG, JSON, or XML). This audit log constitutes "Compelling Evidence" under PayPal's Seller Protection program and will be submitted to PayPal's arbitration system to prove that the digital service was fully delivered and consumed. You acknowledge that this audit data is collected for Billing, Security, and Fraud Prevention purposes under GDPR Article 6(1)(f) legitimate interest, and will be retained for one hundred eighty (180) days, after which IP addresses will be anonymized. The following consumption thresholds, once crossed, constitute irrefutable proof of consumption: (a) you have exported or downloaded one (1) or more non-watermarked PDF, PNG, or SVG label files from the Service; (b) you have used the AI Rewriter (Compliance Copilot) or AI Scanner to rewrite or scan a cumulative total of more than five (5) labels or formulas; (c) you have generated a cumulative total of more than ten (10) AI-generated claim suggestions; (d) you have generated more than three (3) AI Fixer runs that produced accepted output; (e) you have created more than one (1) Pro-only workspace or shared collaboration; or (f) you have unlocked more than one (1) Single Label purchase within the same Account lifetime. Once any of these thresholds is crossed, the Service is deemed fully consumed and any subsequent chargeback or PayPal dispute will be treated as described in Section 7.

7. PayPal Disputes, Chargebacks, and Termination

We strongly encourage you to contact us at support@regusift.com before initiating any PayPal dispute, chargeback, or reversal. We will work in good faith to resolve any issue. If, notwithstanding the No-Refund Policy in Section 5 and the consumption evidence in Section 6, you nevertheless initiate a chargeback, we may, in our sole discretion: (a) provide evidence to PayPal that the charge was valid and the digital service was fully delivered and consumed, including the clickwrap acceptance record with your IP address and timestamp, the immutable audit log of your label unlock and export actions, and the content hash of the documents you acknowledged; (b) immediately suspend or terminate your Account; (c) revoke any remaining Subscription Term without refund; (d) cancel any pending Single Label unlocks; (e) blacklist the brand domain, email domain, and business entity associated with the dispute from creating new Accounts; and (f) report the chargeback to relevant fraud databases. Engaging in repeated or fraudulent chargebacks is a material breach of the Terms of Service and may also constitute wire fraud, bank fraud, or unlawful conduct under 18 U.S.C. § 1343 or analogous state law.

Mandatory Pre-Filing of PayPal Disputes and Chargebacks

Before initiating any dispute, claim, chargeback, reversal, or complaint with PayPal, your credit card issuer, your bank, or any payment network with respect to a charge from YQGate Inc., you agree to first open a formal support ticket at support@labelsift.com and to allow us a reasonable period of at least five (5) business days to investigate and respond. Due to the digital, instantly downloadable, and informational nature of our compliance reports, scanned outputs, and PDF / SVG label files, any dispute or chargeback initiated after you have (a) exported or downloaded any non-watermarked PDF or SVG label file, (b) used the AI rewriter or AI scanner more than the consumption threshold defined in the Billing and Refund Policy, or (c) unlocked a single-label purchase, will be deemed a material breach of this Agreement. In such case, we reserve the right, in our sole discretion, to (i) refuse the dispute, (ii) immediately suspend or terminate your account, (iii) revoke any unexpired subscription period without refund, (iv) cancel any pending one-time unlocks, and (v) blacklist the brand domain, email domain, and business entity associated with the dispute from creating new accounts.

8. No Refund for UPL / Regulatory-Outcome Disputes

You acknowledge that the Service provides automated informational compliance screening and does not constitute legal advice, regulatory consulting, attorney representation, or FDA approval. You further acknowledge that any AI Output may contain errors, omissions, or inappropriate recommendations, and that you are solely responsible for reviewing, validating, and verifying any AI Output before adopting it into a final product, label, claim, or marketing material. Accordingly, the following are not grounds for a refund, credit, chargeback, or other monetary relief: (a) you later discover that the Service did not detect a particular FDA 21 CFR violation, FTC violation, state-law violation, FSMA violation, FALCPA / FASTER Act violation, Prop 65 violation, USP violation, retailer-mandated policy violation, or any other regulatory or contractual issue; (b) you receive a Form 483 observation, an FDA Warning Letter or Untitled Letter, an FTC civil investigative demand, a state attorney general inquiry, an Amazon listing suspension, a product liability claim, a consumer class action, a recall, or any other regulatory or private enforcement action with respect to a product for which you used the Service; (c) you disagree with a scoring, risk flag, or status indicator produced by the Service; or (d) you believe that the Service should have been "stricter," "more accurate," or "more comprehensive" than it was. The "no refund" carve-out in this Section 8 survives termination of this Agreement and applies in addition to the No-Refund Policy in Section 5.

9. Price Changes

YQGate may change the prices for the Pro plan or the Single Label plan at any time. For existing Pro subscribers, any price increase will be communicated by email and through the Service at least thirty (30) days before the increase takes effect for your current Subscription Term. Your continued use of the Service after the effective date of the price increase constitutes your acceptance of the new price. If you do not accept the new price, you may cancel your subscription before the renewal date; in that case, your subscription will end at the end of your current Subscription Term and you will not be charged the new price. Price decreases take effect immediately for the next billing cycle and will not be applied retroactively to the current billing cycle.

10. Changes to This Policy

YQGate may update this Billing and Refund Policy from time to time. Material changes will be communicated by email and through the Service at least thirty (30) days before the change takes effect. Non-material changes (such as clarifications, typo corrections, and contact information updates) take effect upon posting. The version date of this Policy in effect at the time of any charge or refund request governs that charge or refund. Disputes about which version applied will be resolved by reference to the clickwrap acceptance record stored in our audit log.
